1. Acceptance of Terms

By accessing or using CryptoPayroll.ai (“Platform”), you agree to these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Platform.

Crypto Payroll LLC (“Company”, “we”, “our”, “us”) provides a non-custodial, peer-to-peer crypto payroll SaaS tool that enables companies to process global payroll in USDT across supported EVM blockchains. These Terms form a binding agreement between you and Crypto Payroll LLC.

2. Eligibility

You may use the Platform only if:

  • You are at least 18 years old;
  • You have the legal authority to bind the company you represent; and
  • Your company is not located in a prohibited or sanctioned jurisdiction.

3. Description of Service

CryptoPayroll.ai is a non-custodial payroll automation tool. We do not hold user funds, manage private keys, or execute transactions on behalf of users.

The Platform enables you to:

  • Create and manage payroll batches;
  • Send USDT to employees across supported EVM chains;
  • Automate parts of your payroll workflows;
  • Maintain transaction records and reporting; and
  • Access features based on your subscription plan.

Employees do not connect wallets inside the application. All transactions occur directly on-chain, initiated and approved by employers using their own wallet provider.

4. Non-Custodial Nature

Crypto Payroll LLC does not:

  • Store or control private keys;
  • Custody cryptocurrency or fiat funds;
  • Recover lost funds or access wallets on your behalf; or
  • Reverse, modify, or interfere with blockchain transactions.

All transfers are peer-to-peer and are signed and approved by the employer’s connected wallet.

5. Subscription & Billing

5.1 Plans

Subscription plans are based on monthly transaction volume (amount of USDT sent per month). Plans renew automatically unless canceled in accordance with these Terms.

5.2 Payments

Subscription payments are processed by Stripe and are subject to Stripe’s own terms and policies. We do not accept cryptocurrency payments for subscriptions.

5.3 Taxes

You are responsible for any taxes, duties, or governmental charges associated with your use of the Platform and subscription fees, in accordance with the laws applicable to your jurisdiction.

6. Refund Policy

You may request a refund of subscription fees under the following conditions:

  • A duplicate payment was charged; or
  • An accidental upgrade to a higher plan occurred; or
  • The service failed to operate for an extended period, as verified by our team, and materially impacted your usage.

Refunds are issued only for subscription fees paid within the past 14 days. We do not provide refunds for partial months, usage overages, or issues caused by misconfiguration or improper use of the Platform.

Subscription fees are fiat-based and processed via Stripe. No cryptocurrency refunds are provided.

7. User Responsibilities

By using the Platform, you agree that:

  • You are fully responsible for the accuracy, legality, and timeliness of your payroll;
  • You must carefully verify all recipient wallet addresses and payment amounts;
  • You are solely responsible for compliance with all applicable payroll, tax, employment, and cryptocurrency regulations in each relevant jurisdiction;
  • You understand that mis-sent crypto transactions cannot be reversed and may result in permanent loss of funds; and
  • You acknowledge that the Platform is a B2B SaaS tool and not a financial institution, exchange, payment processor, or custodian.

8. Prohibited Use

You may not use the Platform in connection with:

  • Money laundering or terrorist financing;
  • Fraud, scams, or deceptive practices;
  • Sanctions violations or dealings with sanctioned entities or jurisdictions;
  • Exploits, hacking, or misuse of smart contracts and blockchain infrastructure;
  • Illegal employment or labor practices; or
  • Any other unlawful activities under applicable law.

We may suspend or terminate access to the Platform if we reasonably believe that your use violates these Terms or applicable law.

9. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains what data we collect, how we use it, and your rights. By using the Platform, you consent to our data practices as described in the Privacy Policy.

10. Intellectual Property

All content, design elements, software, and trademarks associated with CryptoPayroll.ai are the intellectual property of Crypto Payroll LLC or its licensors. You may not copy, modify, reverse engineer, distribute, or create derivative works based on any part of the Platform, except as permitted by law or these Terms.

11. Disclaimers

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. We do not guarantee:

  • Uptime or availability of any blockchain network;
  • Gas prices, transaction speeds, or network stability;
  • Availability or performance of third-party wallet providers; or
  • Success or finality of any blockchain transaction.

Your use of the Platform and any interaction with blockchain networks is at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law, Crypto Payroll LLC, its affiliates, officers, employees, and agents shall not be liable for any:

  • Loss of funds, whether due to mis-sent transactions or blockchain issues;
  • Indirect, incidental, special, consequential, or punitive damages;
  • Loss of business, revenue, profits, or data; or
  • Gas fees, slippage, or price volatility associated with digital assets.

Your sole and exclusive remedy for dissatisfaction with the Platform is to stop using it.

13. Indemnification

You agree to indemnify and hold harmless Crypto Payroll LLC and its affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your:

  • Use of the Platform;
  • Violation of these Terms; or
  • Violation of any applicable law or regulation.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

15. Changes to Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page. Your continued use of the Platform after any changes become effective constitutes your acceptance of the updated Terms.
